1. Introduction and Acceptance

These Website Terms and Conditions (the "Terms") govern your access to and use of www.fonixedu.com (the "Website") and the products, applications, platforms, features, content, and related services made available by FONIX EDU (PVT) LTD, including ExamHub and EduOne (together, the "Services").

By accessing or using the Website or Services, creating an account, clicking an acceptance button, purchasing a plan, or otherwise using any Service, you confirm that you have read, understood, and agree to be bound by these Terms and any product-specific terms, order forms, policies, or notices presented to you at the time of registration or purchase.

If you do not agree to these Terms, you must not access or use the Website or Services.

2. About FONIX EDU and Our Services

FONIX EDU (PVT) LTD is an education technology company incorporated in Sri Lanka. Our Services include digital education tools and platforms designed for students, teachers, educational institutions, and other authorised users:

  • ExamHub: A learning and exam-preparation platform that may include quizzes, past papers, progress tracking, gamified learning, challenges, courses, and other student learning features.
  • EduOne: An AI-enabled education and learning management platform that may include exam creation, question generation, scanning, handwritten answer processing, automated or assisted grading, student feedback, analytics, class management, content delivery, payment features, and related teacher or institution tools.

The exact features, availability, pricing, supported subjects, supported languages, and technical requirements may change from time to time. Product pages and in-product notices form part of the information provided to you about the relevant Service.

3. Eligibility, Minors and Authority

You must have the legal capacity to enter into these Terms. If you are under 18 years of age, or below the age at which you may enter into a binding contract in your jurisdiction, you may use the Services only with the involvement, permission, and supervision of a parent, legal guardian, teacher, or authorised educational institution, as applicable.

A parent or guardian who allows a minor to use the Services is responsible for supervising that use and for the minor's compliance with these Terms.

If you use the Services on behalf of a school, tuition class, institute, company, teacher, or other organisation, you represent that you have authority to bind that organisation to these Terms.

4. Accounts and Account Security

Some Services require an account. You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for keeping your login credentials, one-time passwords, recovery methods, and devices secure. You must not share an account in a way that bypasses applicable user, student, teacher, class, licence, or subscription limits.

You must notify us promptly if you believe your account has been accessed without authorisation or your credentials have been compromised. We may require identity or account verification before restoring access or making account changes.

5. Website Information and Communications

We aim to keep Website information accurate and current. However, Website content may occasionally contain errors, omissions, outdated material, or temporary inconsistencies. Where there is a conflict between general Website information and specific terms shown during an order or subscription process, the specific transaction terms will apply to that transaction.

You agree that we may send you service-related communications, including account notices, security alerts, transaction confirmations, policy updates, and other information necessary to provide the Services. Marketing communications will be handled according to applicable law and the choices made available to you.

6. Licence to Use the Services

Subject to these Terms and any applicable payment obligations, FONIX EDU grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services for their intended educational or business purpose.

This licence does not transfer ownership of the Website, applications, software, source code, models, designs, databases, content, trademarks, or other intellectual property.

7. ExamHub Specific Terms

ExamHub is intended to support learning, revision, practice, and exam preparation. Questions, answers, explanations, scores, rankings, progress indicators, and other learning outputs are educational support tools and should not be treated as a guarantee of examination results, admission, certification, or academic performance.

You must not use ExamHub to cheat in an active examination, obtain unauthorised exam content, manipulate scores or rankings, interfere with other users, or misuse competitive or gamified features.

Certain courses, papers, teacher materials, or premium features may be subject to separate access conditions, expiry periods, class rules, or payment requirements disclosed before access is granted.

8. EduOne Specific Terms

EduOne is designed to assist teachers, students, and educational institutions with education workflows. Depending on the plan and feature set, it may support AI-assisted question generation, exam preparation, scanning, answer processing, automated or assisted grading, student feedback, analytics, class management, content distribution, payment collection, and related services.

Teachers and institutions remain responsible for their academic decisions, assessment rules, marking schemes, moderation procedures, student communications, and final use of outputs produced through EduOne.

Where a teacher or institution uses EduOne to manage students, collect submissions, upload answer sheets, or process student information, that teacher or institution must have the necessary authority to do so and must provide any notices or obtain any permissions required for its own relationship with students, parents, employees, or other data subjects.

9. AI, Automated Processing and Grading

Some Services use artificial intelligence, optical character recognition, automated processing, algorithmic analysis, or similar technologies. These technologies can save time and support educational work, but their outputs may not always be complete, accurate, appropriate, or error-free.

Review and Verification

AI-generated questions, answers, feedback, analytics, handwriting recognition, student identification, marks, grading suggestions, or other outputs should be reviewed by an appropriately qualified teacher or authorised user before they are used for high-stakes decisions, final grades, disciplinary action, certification, admission, or other decisions with significant consequences.

You are responsible for checking source materials, marking schemes, subject requirements, generated content, and results before relying on them. You must not intentionally provide misleading inputs or manipulate the Services to produce unfair or deceptive academic outcomes.

10. Educational Disclaimer

The Services are educational technology tools. FONIX EDU does not guarantee that use of the Services will result in any particular exam score, ranking, qualification, admission, employment outcome, revenue level, student retention rate, or other result.

The Services do not replace professional teaching judgment, official syllabuses, examination authority instructions, school or institutional policies, or independent academic moderation where those are required.

11. User Content and Uploaded Materials

"User Content" includes any text, questions, papers, answer sheets, images, scans, videos, audio, lesson materials, student data, marking schemes, files, feedback, messages, or other material that you upload, submit, transmit, store, or make available through the Services.

You retain ownership of your User Content, subject to any rights owned by third parties. You grant FONIX EDU a limited licence to host, store, copy, process, transmit, display, convert, analyse, and otherwise use User Content only as reasonably necessary to provide, secure, maintain, support, and improve the Services, comply with law, and enforce these Terms, subject to our Privacy Policy and any applicable written agreement.

You represent and warrant that you have the necessary rights, permissions, and lawful basis to upload and use User Content and to allow FONIX EDU to process it for the purposes of providing the Services.

12. Teacher, Course and Third-Party Content

Teachers, institutions, publishers, or other third parties may provide courses, papers, videos, questions, notes, live sessions, or other content through the Services. Unless expressly stated otherwise, that content remains the property of the relevant owner or licensor.

Users may access such content only for the permitted educational purpose and within the applicable class, course, licence, subscription, or access period. Users must not copy, record, download, redistribute, resell, publish, or commercially exploit third-party content unless expressly authorised.

FONIX EDU may act as a technology platform for content or services provided by teachers or institutions. Unless we expressly state otherwise, the teacher or institution is responsible for the accuracy, quality, schedule, delivery, and academic content of its own classes or materials.

13. Intellectual Property Rights

The Website, Services, software, user interfaces, designs, graphics, logos, trademarks, databases, platform structure, workflows, documentation, and FONIX EDU-created content are owned by or licensed to FONIX EDU and are protected by applicable intellectual property laws.

You must not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, create derivative works from, scrape, mirror, sell, lease, sublicense, or commercially exploit any part of the Services except where expressly permitted in writing or where such restriction is prohibited by law.

"FONIX EDU", "ExamHub", "EduOne", and related names, logos, and branding may not be used without prior written permission.

14. Prices, Payments and Taxes

Prices, billing intervals, included features, usage limits, licence scope, applicable taxes, and any other compulsory or optional charges will be displayed or otherwise communicated before a purchase is confirmed.

Payments may be processed by third-party payment providers. You authorise the applicable payment provider and FONIX EDU to process charges connected with your purchase. FONIX EDU does not require you to provide payment card details directly where a third-party payment provider handles those details.

You are responsible for providing accurate billing information and for paying all amounts due. We may suspend paid features for overdue payments, failed payments, chargebacks, suspected fraud, or misuse, subject to applicable law and any written agreement.

15. Subscriptions, Renewals and Cancellation

Some Services may be offered as recurring subscriptions. Where a subscription renews automatically, the renewal period, price or pricing method, renewal date or frequency, and available cancellation method will be disclosed before you confirm the purchase.

Unless different product-specific terms apply, cancellation stops future renewal and does not automatically reverse charges already validly incurred. You should cancel before the next renewal date to avoid the next recurring charge.

We may change subscription pricing or features prospectively. Where required, we will provide reasonable notice before a material change takes effect for an existing recurring subscription.

16. Refunds, Withdrawals and Technical Issues

Refund eligibility is governed by the terms displayed at the time of purchase, any applicable product-specific refund or cancellation policy, and mandatory consumer law. Nothing in these Terms excludes rights that cannot lawfully be excluded.

Because some Services are digital and may be delivered, activated, downloaded, unlocked, attended, processed, or consumed immediately, actual access or use of a Service may affect refund eligibility to the extent permitted by law.

Where a paid Service is materially unavailable because of a verified technical problem caused by FONIX EDU, we may, depending on the circumstances and applicable law, provide technical correction, replacement access, service credit, extension, partial refund, or full refund.

17. Free Trials, Discounts, Promotions and Credits

Free trials, promotional offers, discounts, coupons, referral benefits, points, credits, or vouchers may be subject to eligibility requirements, time limits, usage rules, and other conditions disclosed with the offer.

Unless otherwise stated, promotional benefits have no cash value, are non-transferable, cannot be combined with other offers, and may be withdrawn where fraud, abuse, duplication, or violation of the promotion rules is detected.

Where a free trial converts to a paid subscription, the conversion timing and applicable charges will be disclosed before you enrol in the trial.

18. Acceptable Use

You must use the Website and Services lawfully, honestly, and only for their intended purposes. You must not:

  • use the Services for unlawful, fraudulent, harmful, abusive, deceptive, discriminatory, or infringing activity;
  • upload malware, harmful code, or content designed to disrupt or damage systems or data;
  • attempt to gain unauthorised access to accounts, systems, databases, source code, models, or restricted areas;
  • circumvent subscription, licence, class, user, feature, rate, security, or technical restrictions;
  • scrape, harvest, bulk extract, copy, or systematically collect data or content without written permission;
  • impersonate another person or misrepresent your identity, authority, qualifications, affiliation, or results;
  • manipulate examinations, grading, rankings, reviews, analytics, payment records, or user activity;
  • use another person's personal data, student records, copyrighted material, or confidential information without proper authority;
  • interfere with the security, reliability, operation, or performance of the Services; or
  • help, encourage, or enable another person to do any of the above.

19. Reviews, Feedback and Public Submissions

Where we provide review, rating, testimonial, comment, or feedback features, you must provide genuine content based on your own experience and must not post false, misleading, manipulated, unlawful, or paid-for reviews without clear disclosure.

You may choose to provide ideas, suggestions, or feedback about the Services. Unless otherwise agreed in writing, we may use non-confidential feedback without restriction or payment, but this does not transfer ownership of your unrelated User Content.

21. Privacy, Cookies and Data Protection

Our collection and use of personal data are described in our Privacy Policy. Cookies and similar technologies are described in our Cookie Policy or cookie notice, where applicable. These documents should be read together with these Terms.

Users who provide personal data about another person must have a lawful basis and appropriate authority to do so. This is particularly important for teachers and institutions processing student data, answer sheets, attendance information, academic results, or other education records.

We may take reasonable technical and organisational measures to protect data and systems, but no internet or storage system can be guaranteed to be completely secure. You must also use reasonable security practices, including secure credentials and appropriate device protection.

22. Service Availability, Maintenance and Changes

We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free availability. Access may be affected by maintenance, updates, internet or device problems, third-party failures, cybersecurity incidents, force majeure events, or other circumstances beyond our reasonable control.

We may add, modify, replace, suspend, or discontinue features to improve security, performance, compliance, user experience, or business operations. Where a material change significantly affects a paid Service, we will take reasonable steps to communicate the change and address any rights that apply under law or a written agreement.

23. Suspension and Termination

We may restrict, suspend, or terminate access where we reasonably believe that:

  • you have materially breached these Terms or product-specific terms;
  • your use creates a security, legal, reputational, financial, or technical risk;
  • payment is overdue or disputed without proper basis;
  • an account is being used fraudulently or without authorisation; or
  • suspension or termination is required by law, a competent authority, or a third party service dependency.

Where reasonably practicable and legally permitted, we will provide notice and an opportunity to remedy a breach before permanent termination. Serious, repeated, fraudulent, harmful, or security-related conduct may result in immediate action.

You may stop using the Services at any time. Account closure, data retention, subscription cancellation, and refund rights remain subject to these Terms, the Privacy Policy, product-specific terms, and applicable law.

24. Disclaimers

To the maximum extent permitted by law, the Website and Services are provided on an "as available" basis. We do not make promises that the Services will always be uninterrupted, completely secure, error-free, suitable for every device or educational method, or that every AI or automated output will be accurate.

Nothing in these Terms limits any warranty, remedy, or consumer right that cannot lawfully be excluded or restricted.

25. Limitation of Liability

To the maximum extent permitted by law, FONIX EDU will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, business opportunities, goodwill, or data, arising from or connected with the Services, except where such exclusion is prohibited by law.

To the maximum extent permitted by law, FONIX EDU's total aggregate liability arising out of or relating to a specific paid Service will not exceed the total amount you paid to FONIX EDU for that specific Service during the 12 months immediately before the event giving rise to the claim.

The limitations in this section do not apply where liability cannot lawfully be limited or excluded, including any liability that applicable law requires us to accept.

26. Indemnity for Business, Teacher and Institutional Users

If you use the Services as a teacher, school, institute, company, or other business or professional user, you agree, to the extent permitted by law, to indemnify FONIX EDU against third-party claims, losses, and reasonable costs arising from your unlawful User Content, your unauthorised use of third-party materials or personal data, your material breach of these Terms, or your misuse of the Services.

This section does not require a consumer to indemnify FONIX EDU for matters that cannot lawfully be imposed on a consumer.

27. Force Majeure

FONIX EDU will not be responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, civil unrest, government action, power failure, telecommunications or internet failure, cloud or platform outage, cyberattack, labour disruption, or failure of essential third-party services.

28. Changes to These Terms

We may update these Terms to reflect changes in the Services, law, security requirements, business operations, or user needs. The updated version will show a new "Last Updated" date.

Where a change is material, we will take reasonable steps to provide notice through the Website, Service, account, or contact details available to us. Changes will apply prospectively from the stated effective date unless a different approach is required by law.

29. Governing Law and Dispute Resolution

These Terms are governed by the laws of Sri Lanka, without prejudice to any mandatory consumer protection rights that apply to you.

Before starting formal legal proceedings, you and FONIX EDU agree to try in good faith to resolve the dispute by contacting the other party and allowing a reasonable period for discussion.

Subject to any mandatory legal rights or dispute resolution procedures that apply, the courts of Sri Lanka will have jurisdiction over disputes arising from or relating to these Terms or the Services.
